Affiliate Program Terms of Service

These Terms of Service ("Terms") govern participation in the Schneider Saddlery Affiliate Program (the "Program") operated by Schneider Saddlery, LLC, an Ohio limited liability company at 8255 East Washington Street, Chagrin Falls, OH 44023 ("Schneiders," "we," or "our"). By enrolling you ("Affiliate" or "you") agree to be bound. The Program runs through a third-party platform (currently Shopify Collabs); your use of that platform is also governed by its own terms, and where they conflict, these Terms apply to your relationship with Schneiders.
1. Eligibility and Enrollment
You must be at least eighteen (18) years old (or the age of majority in your jurisdiction if higher), have authority to sign for yourself or your business, and maintain an active online channel (website, blog, social media, or opt-in email newsletter) on which you will refer traffic to sstack.com. You may not be a current Schneiders employee, contractor, or immediate family member of either, unless approved in writing. You enroll by completing the platform application and clicking to accept these Terms; that acceptance is your electronic signature. Schneiders may accept or decline any application at its discretion, and may reject or suspend an account for any lawful reason (including audience misalignment with the equestrian segment). One account per person or entity.
2. Commissions and Payment
Schneiders pays a base commission of 4% on Qualifying Net Sales attributed to your tracking link or discount code (each a "Tracking Asset"). Qualifying Net Sales exclude shipping, taxes, gift cards, applied credits or refunds, returned merchandise, canceled orders, employee or wholesale orders, orders you place yourself, and any order Schneiders reasonably determines is fraudulent, self-referred, or otherwise ineligible. A sale is attributed to you if the customer purchases within 30 days of clicking your tracking link, or uses your discount code at checkout; last click, or code use at checkout, wins ties, and Schneiders' tracking system is the final authority on attribution.
Commissions on Qualifying Net Sales become releasable to your balance thirty (30) days after the underlying order, subject to the reversal provisions in this Section. Releasable balances at or above $25 are paid on our twice-monthly Shopify Collabs payout schedule through the method you select. Balances below the minimum roll forward. Any commission may be reversed within one hundred eighty (180) days of the underlying order for return, chargeback, or fraud. You are responsible for taxes on commissions earned, must provide a completed IRS Form W-9 (or non-US equivalent) where required, and are an independent contractor. Nothing here creates an employment, partnership, joint venture, franchise, or agency relationship.
3. Promotion and Prohibited Conduct
Schneiders grants you a limited, non-exclusive, non-transferable, revocable license to use your Tracking Asset solely to promote sstack.com. You may promote only through channels you own or control, using official Schneiders creative from the Program platform without modifying the logo or altering product images beyond routine crop and format edits, and without making claims not present on sstack.com.
You will not, and will not allow anyone acting for you to, bid on Schneiders brand terms in paid search (including "Schneider Saddlery," "sstack," "sstack.com," common misspellings, or trademarked product names); register domains, handles, or emails that include a Schneiders trademark or confusingly similar variation; post Schneiders discount codes to coupon aggregators, deal directories, coupon databases, or browser extensions; use cookie stuffing, hidden iframes, forced clicks, redirect chains, click farms, bot traffic, malware, or any other artificial means to inflate attribution; copy sstack.com in ways that confuse users about which site they are on; represent yourself as Schneiders, a Schneiders employee, or an authorized reseller; promote content that is unlawful, obscene, defamatory, harassing, discriminatory, or endangers animals; or sell, resell, or transfer your Tracking Asset, discount code, or account access. Violation may result in immediate suspension, reversal of pending and (for fraud) previously paid commissions, and permanent removal.
4. Disclosure and FTC Compliance
You will comply with the Federal Trade Commission Endorsement Guides (16 C.F.R. Part 255), the FTC Act, and equivalent rules in any jurisdiction where you promote. In every promotion clearly and conspicuously disclose your material connection to Schneiders (compliant language includes "affiliate link," "paid link," "advertisement," "#ad," or "Paid partnership with Schneider Saddlery") where the audience will see it before the endorsement, not buried in bio or footer alone. On short-form video, the disclosure must appear on-screen for the duration of the endorsement. You will not make claims about Schneiders products, prices, or offers inconsistent with sstack.com, and Schneiders may require prompt takedown or edit of any content that is materially misleading, non-compliant, or damaging to Schneiders' marks or reputation. Failure to comply within seventy-two (72) hours of written notice is a material breach.
5. Intellectual Property and Confidentiality
Schneiders retains all right, title, and interest in Schneiders trademarks, logos, product images, and creative materials; you receive only the license in Section 3. You retain your own content and channel. On termination you will promptly stop using Schneiders trademarks and remove or update posts where Schneiders reasonably requests; truthful historical references may remain. Non-public information Schneiders provides you (commission rates outside published tiers, unreleased promotions, roadmap, internal analytics) is confidential for two (2) years after your Term ends, perpetually for trade secrets.
6. Term and Termination
These Terms apply from the date Schneiders approves your enrollment. You may leave at any time by closing your account. Schneiders may terminate at any time for any lawful reason on notice through the platform or by email, and may suspend or terminate immediately without notice for any material breach (including Sections 3 or 4) or fraudulent activity. On termination your license to Tracking Assets ends; balances below the minimum payout are forfeited; balances at or above the minimum on qualifying orders not subject to reversal are paid on the next payout cycle unless Schneiders reasonably determines they were earned in breach. If you materially breach, Schneiders may reverse commissions on affected orders and recover documented direct costs, capped at the greater of commissions paid to you in the twelve (12) months before the claim or $500 (uncapped for fraud or willful misconduct). Sections 2 (final reconciliation and taxes), 4, 5, 6, 7, and 8 survive termination.
7. Risk, Liability, and Indemnity
The Program and Schneiders products are provided "as is" and "as available." Schneiders makes no representation about the volume of traffic or commissions you will earn, product availability, or results, and may change product availability, pricing, discount offers, and Program mechanics at any time. Schneiders does not warrant that platform tracking will be error-free. To the fullest extent permitted by law, Schneiders' aggregate liability under these Terms will not exceed commissions paid to you in the six (6) months before the claim (or $100 if none), and neither Party will be liable for indirect, incidental, consequential, special, exemplary, or punitive damages. These limits do not apply to your amounts due, your indemnity, Section 3 violations, or fraud, willful misconduct, or gross negligence.
You will defend, indemnify, and hold harmless Schneiders and its affiliates, officers, directors, employees, and contractors from any third-party claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from your content or channels, your breach of these Terms, your violation of any applicable law (including FTC rules), or any representation about Schneiders inconsistent with sstack.com.
8. Governing Law and General
Ohio law governs these Terms, without regard to conflict-of-laws principles. Exclusive venue is the state or federal courts in Cuyahoga County, Ohio; each Party consents to personal jurisdiction and waives objection to venue. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR COLLECTIVE ACTION AGAINST THE OTHER TO THE MAXIMUM EXTENT PERMITTED BY LAW. Either Party may seek equitable relief (including injunction) for misuse of trademarks, confidential information, or intellectual property in addition to legal remedies.
Schneiders may update these Terms at any time by posting the revised Terms in the Program platform and, for material changes, giving fifteen (15) days' email notice; your remedy is to close your account before the effective date. Continued participation after the effective date is acceptance. You may not assign these Terms or your account without Schneiders' prior written consent; Schneiders may assign to an affiliate or in connection with a sale of substantially all of its business. Notices to Schneiders go to legal@sstack.com, copy affiliate@sstack.com; notices to you go to the email on file. These Terms plus policies referenced in the platform are the entire agreement on the Program. A Party's failure to enforce is not a waiver; if any provision is unenforceable, the remainder stays in effect; neither Party is liable for delay caused by events beyond reasonable control (other than payment).
Acceptance
BY CLICKING "I ACCEPT" OR BY ENROLLING IN THE PROGRAM, YOU CONFIRM THAT YOU HAVE READ THESE TERMS, THAT YOU UNDERSTAND THEM, AND THAT YOU AGREE TO BE BOUND BY THEM.
